Terms & Conditions
Terms of Participation
Please READ carefully. By purchasing this product, the following Terms and Conditions (the "Agreement") are entered into by amy migdalia, LLC ("Company", "we", or "us") and You ("Member" or "You"), and You agree to the following terms stated herein. The Company and You may be referred to collectively as "Parties" in this Agreement.
Program & Service
amy migdalia, LLC agrees to provide the Program, ROOT (herein referred to as "Program"), identified in the online commerce shopping cart. ROOT is a six (6) month Program. As a condition of participating in the Program, you agree to be bound by and to abide by all policies and procedures set out in this Agreement, including those incorporated by reference.
As part of the Program, the Company shall provide the following to Member:
A Password-Protected Program Site Area: The Company shall maintain a Program Area that will include video, audio and written lessons, resources, guides, transcripts, and other training and support information. You shall have access to this Program Area for the duration of your active six-month Program term, for as long as the Program Area exists, unless you or we terminate your Program. In the event that the Company intends to close the Program Area, it shall provide members with 30 days' notice.
From time to time, the Company will offer bonuses to individuals who sign up for the Program. You shall be entitled to any bonuses offered to you at the time of your enrollment. Bonuses are not guaranteed to be available for the entire lifespan of the Program and they vary depending on specific live and automated promotions throughout the year.
Participants
This Program is intended for adults aged 18 and above. A parent or legal guardian may also enroll a minor child between the ages of 1 and 17. The Company does not accept members under the age of 1. When a minor is enrolled, the parent or legal guardian who enrolls the child is the Member under this Agreement, agrees to these Terms and Conditions on the child's behalf, and is solely responsible for all decisions regarding the child's lab testing, protocols, supplements, diet, and participation, including consulting with the child's pediatrician or other health care provider before making any changes. Minors may not access the Program, its community, or any forums without the supervision of their parent or legal guardian. Some of the content in this Program may not be appropriate for children, and the Company disclaims all liability for use of the Program by a minor except as enrolled and supervised by their parent or legal guardian.
This Program is intended to be utilized by adults who will implement the health changes taught throughout the Program for themselves or, in the case of an enrolled minor, on behalf of their child.
Fees
In consideration of Your access to the Program, You agree to pay the fees for a six (6) month Program term listed on the checkout page, using the payment option You select at checkout:
Pay in Full: a one-time payment of $997 for six (6) months of Program access; or
Monthly Payment Plan: six (6) consecutive monthly payments of $199, for a total of $1,194, for six (6) months of Program access.
Six-Month Commitment. Both payment options are a commitment to the full six-month Program term. The Monthly Payment Plan is an installment plan, not a month-to-month subscription. By enrolling in the Monthly Payment Plan, You agree to pay all six (6) monthly payments of $199. The Monthly Payment Plan cannot be cancelled, paused, or stopped before all six (6) payments are complete, and You remain responsible for all six payments whether or not You continue to use the Program.
Rate Lock. The Company will lock in Your Program fee for the duration of Your six-month term only. Prices are always subject to change, and the locked-in fee does not apply to any future term or re-enrollment. ROOT does not renew automatically. Once Your term ends, or if You or we terminate Your Program before the end of Your term, You may join again only by purchasing a new six-month Program at the then-current price.
No Automatic Renewal. Your Program does not renew automatically. It ends at the close of Your six-month term, and You will not be charged again after Your final scheduled payment. If You would like to continue after Your term ends, You may enroll in a new six-month Program at the then-current price. Your Program will be activated as soon as Your debit or credit card is successfully charged.
Re-Enrollment. We hope You will want to continue with ROOT after Your six-month term. Before Your term ends, the Company will reach out with an invitation and a link to re-enroll. Re-enrollment is a new purchase: it is a separate purchase of a new six-month Program, at the price in effect at the time You re-enroll, using the payment option You choose at that time. Prices are always subject to change. The price You paid for a previous term does not carry over, and the price to re-enroll may be higher or lower than the price You originally paid. Each re-enrollment begins a new six-month commitment and is governed by the Terms and Conditions and the Refund Policy in effect on the date of that purchase. You will not be charged for a new term unless You choose to re-enroll and complete a new purchase.
Methods of Payment
By purchasing the Program, You authorize the Company to charge Your credit or debit card for the payment option You select at checkout. If You choose Pay in Full, Your card is charged once, at checkout. If You choose the Monthly Payment Plan, Your first payment is charged at checkout, and You give us permission to automatically charge the same card for each of the remaining five (5) scheduled monthly payments of $199, without any additional authorization. You will receive an electronic receipt for each payment. Your card will not be charged for any future term unless You choose to re-enroll and complete a new purchase. You also agree that the Company is authorized to share any payment information and instructions required to complete the payment transactions with its third-party payment service providers (e.g., credit card transaction processing, merchant settlement, and related services).
Regarding recurring payments and outstanding invoices: If all eligible payment methods we have on file for you are declined for payment of any Program fee or monthly payment, you must provide a new eligible payment method promptly or your Program access will be removed. Removal of access for non-payment does not release you from your obligation to pay the remaining payments for your six-month term.
You agree to reimburse the Company for all collection and/or legal fees and expenses necessitated by lateness or default in payment.
Payment Disputes and Chargebacks. Because our Refund Policy is clear and was agreed to before purchase, we ask that you contact us at root@amymigdalia.com before filing a dispute or chargeback with your bank or card issuer, so we have the chance to resolve your concern. If you file a chargeback or payment dispute for any Program payment owed under these Terms, you agree that: (1) the Company may immediately suspend or end your access to the Program, including the portal, group calls and lab ordering, until the dispute is resolved; (2) the Company may respond to the dispute by providing your card issuer with records of your purchase, your agreement to these Terms and the Refund Policy, your Program access and activity, and your communications with us; (3) any amount reversed through a chargeback that is owed under these Terms remains a debt you owe to the Company, together with any chargeback fees charged to the Company; and (4) the Company may refer any unpaid balance to a collection agency or pursue it through legal action, and you agree to pay the reasonable collection costs and attorneys' fees described above. Filing a chargeback for a payment you authorized and agreed to under these Terms is a breach of this Agreement.
Refund Policy
Refunds are only available within twenty-four (24) hours of your initial purchase, and only if you have not ordered any labs. Refunds are issued less any payment processing fees, which are non-refundable. If you chose the Monthly Payment Plan, your first $199 payment will be refunded, less those processing fees, and no further monthly payments will be charged. Once twenty-four (24) hours have passed since your purchase, no refunds are available for any reason, and you remain responsible for all payments for your six-month term. If you order any labs within the first twenty-four (24) hours, you are no longer eligible for a refund. To request a refund within the 24-hour window, email root@amymigdalia.com. For full details, see our Refund Policy.
Lab Orders and Testing
Functional lab tests are ordered and paid for separately from your Program fee. Lab prices include the laboratory's cost plus a fee to cover processing and administration. The Company does not earn a commission on labs.
No refunds once processed. Lab orders cannot be cancelled or refunded once they have been processed.
Lost, damaged or expired kits. If a test kit is lost, damaged, expired or not returned while in your care, you are responsible for the cost of a replacement kit.
Laboratory errors. If the laboratory mishandles, loses or is unable to process your sample through no fault of your own, the laboratory is responsible for providing a replacement kit or re-test at no additional cost to you.
Turnaround times. Results timing depends on the laboratory's processing time and is not guaranteed. Results typically take three (3) to four (4) weeks after the laboratory receives your sample, and may take longer.
Geographic restrictions. Due to state regulations, functional labs cannot be ordered to, collected in, or shipped from New York, New Jersey or Rhode Island. Members in these states must use a shipping address outside of NY, NJ and RI, and must collect their samples and ship them from a state where testing is permitted. The Company is not responsible for a test that cannot be processed because these requirements were not followed.
Results are educational, not a diagnosis. Lab results, results summaries and protocols provided through the Program are for educational purposes only. They are not a medical diagnosis and are not a substitute for evaluation or treatment by your physician or other licensed health care provider. Please share your results with your provider before making any changes to medications or treatment, and seek prompt medical care for any results or symptoms that concern you.
Supplement Recommendations and Affiliate Disclosure
Protocols may include supplement recommendations available through Fullscript or other third-party dispensaries. The Company receives a small commission on supplements purchased through its Fullscript dispensary. You are never required to purchase supplements through the Company's dispensary, and you may purchase recommended products from any source you choose. Supplement purchases are made with, and are subject to the policies of, the third-party dispensary.
Health Information and Privacy
To provide the Program, the Company collects personal and health information that you share with us, which may include your name, contact and shipping information, date of birth, symptom and health history forms, lab results, and protocol and progress information. The Company collects the same information for children enrolled by a parent or legal guardian as it does for adults, and the parent or legal guardian provides that information and consents to its use on the child's behalf.
The Company uses this information only to deliver the Program, including recommending and ordering labs, reviewing results, preparing protocols and supporting you. The Company shares it only as needed to provide the Program, such as with the laboratories that process your tests, supplement dispensaries you choose to use, payment processors, and service providers that help us operate the Program, or as required by law. The Company does not sell your personal or health information. You may request a copy of your information, or ask that it be deleted, by emailing root@amymigdalia.com, subject to any records we are required to keep. Additional details are available in the Company's website Privacy Policy.

Therefore, the Company shall not be held liable for any participant's comments, actions, posts, content or materials that result in another participant's trauma or discomfort.

You agree you will not pitch, promote, market, or sell any other products, groups, programs, or events to Program participants on any Company website or third-party forums operated by the Company, whether or not officially sanctioned, owned, or operated by the Company. This means you agree not to form, or ask Program participants to join, other groups on social media or any other platform.
We may also post separate rules regarding your behavior in any online community or forum, whether hosted on the Company's website or a third-party website, which may be updated from time to time. You agree that you are bound by those rules and they are expressly incorporated into this Agreement.

You also consent to photographs, videos, and/or audio recordings, including teleconference calls, webinars, or other communications, that may be made by the Company during the Program that may contain you, your voice and/or your likeness. In the Company's sole discretion, we reserve the right to use these photographs, videos, and/or audio recordings and/or any other materials submitted by you to the Company or created by the Company in connection with your participation in any Program, without compensation to you at any time, now or at any time in the future.
You also grant us, and anyone authorized by us, the right to use your likeness and identify you by name, email address, or screen name as the author and individual depicted in any comments, posts, photos, images, videos or other contributions created by you or the Company that reference the Company or the program, and to identify you as a member of the program by name, email address, or screen name, for any purposes, including commercial purposes and advertising.
Username and Password
To access certain features of the Program, including any private program areas, you may need a username and password. You agree to keep your username and password confidential. During the registration process for any service or product, you agree to provide true, accurate, current, and complete information about yourself. If the Company has reasonable grounds to suspect that you have provided false information, shared your username and password with anyone else, or forwarded any non-public material from the Program to any other person, the Company has the right to suspend or terminate your account and refuse any and all current or future use of the Program or any of its content, in whole or part, without refund. Any personally identifiable information you provide as part of the registration process is governed by the terms of the Company's website Privacy Policy.
No Transfer of Intellectual Property; Limited License
All content included as part of the Program, such as text, graphics, logos, images, as well as the compilation thereof, and any software used in the Program, is the property of the Company or its suppliers and protected by copyright, trademark, and other laws that protect intellectual property and proprietary rights.
The Company name, the Company logo, the Company slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. All other names, logos, product and service names, designs and slogans in the Program are the trademarks of their respective owners.
As a purchaser or participant in the Program, you are our Licensee. For the avoidance of doubt, you are granted a revocable, non-transferable license for personal, non-commercial use only, limited to you only.
This means you may view, download, print, email, and use one copy of individual pages of the Program and Content for your own personal purposes.
Your participation in the Program does not result in a transfer of any intellectual property to You, and, as a condition of participation in the Program, You agree to observe and abide by all copyright and other intellectual property protection.
You may not republish, reproduce, duplicate, copy, sell, display, disclose, distribute to friends, family, or any other third party, or otherwise use any material from the Program or Content for commercial purposes or in any way that earns you or any third party money. By downloading, printing, or otherwise using the Program or any Company content for personal use you in no way assume any ownership rights of the Content – it is still Company property. Any unauthorized use of any materials found in the Program or Content shall constitute infringement.
The Company content is not for resale. Your participation in the Program does not entitle you to make any unauthorized use of any protected content, and in particular you will not delete or alter any proprietary rights or attribution notices in any content. You will use protected content solely for your individual use, and will make no other use of the content without the express written permission of the Company and the copyright owner. You agree that you do not acquire any ownership rights in any protected content. We do not grant you any licenses, express or implied, to the intellectual property of the Company or our licensors except as expressly authorized herein.
You hereby agree that any infringement of the Company's intellectual property shall result in an immediate termination of the license granted hereunder. To be clear, if you violate the Company's intellectual property rights, your access to the Program will be terminated immediately, and you shall not be entitled to a refund of any portion of the fees.
Your use of any materials found in the Program or Content other than that expressly authorized in this agreement or by a separate written assignment is not permitted ("Unauthorized Use"). You agree to pay liquidated damages of five (5) times the total fees paid for the Program in the event of your Unauthorized Use, or a minimum of $2,500 if you did not pay fees for the Program, in addition to any legal or equitable remedies the Company may be entitled to pursue. This is not a penalty but an agreed liquidated damages charge for the Unauthorized Use.
You agree that any violation or threatened violation of the Intellectual Property Rights terms in this Agreement would cause irreparable injury to Us that may not be adequately compensated by damages, entitling the Company to obtain injunctive relief, without bond, in addition to all legal remedies.
Force Majeure
The Company shall not be liable or responsible to You, nor be deemed to have defaulted or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by or results from acts or circumstances beyond the reasonable control of the Company including, without limitation, acts of God, flood, fire, earthquake, pandemic, death, illness or incapacity of the owner of Amy Migdalia, LLC, explosion, any local, state, federal, national or international law, governmental order or regulation, governmental actions, war, invasion, or hostilities (whether war is declared or not), terrorist threats or acts, riot, or other civil unrest, national emergency, revolution, insurrection, epidemic, lock-outs, strikes or other labor disputes (whether or not relating to either party's workforce), or restraints or delays affecting carriers or inability or delay in obtaining supplies of adequate or suitable materials, materials or telecommunication breakdown or power outage (collectively, "Force Majeure Event"). Upon occurrence of any Force Majeure Event, the Company shall give notice to you of its inability to perform or of delay in completing the Program and shall propose revisions to the schedule for completion of the Program or other accommodations, or may terminate this Agreement.
Severability
If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. The remainder of this Agreement will remain in full force and the invalid or unenforceable provision will be replaced by a valid or enforceable provision.

The information contained in the Program, including any interactions with the instructors, is not intended as, and shall not be understood or construed as, professional or medical advice.
You agree to absolve and do hereby absolve and release the Releasees (defined below) from any and all liability or loss that you or any person or entity associated with you may suffer or incur as a result of use of the Program and/or any information and resources contained in the Program. You agree that Releasees shall not be liable to you for any type of damages, including direct, indirect, special, incidental, equitable, or consequential loss or damages for use of the Program, including its content, materials, products or services, or third-party content, materials, products or services made available through the Program.
The information, software, products, and service included or available through the Program may include inaccuracies or typographical errors. Changes are periodically added to the information in the Program. The Company and/or its suppliers may make improvements and/or changes in the Program at any time.
The Company and/or its suppliers make no representations about the suitability, reliability, availability, timeliness, and accuracy of the information, software, products, services, and related graphics contained in the Program for any purpose. The Company and/or its suppliers hereby disclaim all warranties and conditions with regard to this information, software, products, services, and related graphics, including all implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement.
In the event that the release and hold harmless provision is held unenforceable for any reason, you agree to limit any damages claimed to the total paid to the Company for the Program.
Any links to third-party products, services, or sites are subject to separate terms and conditions. The Company is not responsible for or liable for any content on or actions taken by such third-party company or website. Although the Company may recommend third-party sites, products or services, it is your responsibility to fully research such third parties before entering into any transaction or relationship with them.

Termination
The Company reserves the right, in its sole discretion, to terminate your access to the Program and the related services or any portion thereof at any time, without notice, if You become disruptive to the Company or other Program participants, if You fail to follow the Program guidelines, or if You otherwise violate this Agreement. ROOT is a six-month commitment. If you choose to leave the Program before your six-month term ends, leaving early does not end your current term. You will not be issued a refund for any remaining days or months of your current six-month term, and any remaining monthly installments for that term, along with any default or late payments, remain due. If you stop paying or dispute a payment before all payments for your term are complete, all remaining payments for that term will be due immediately.
If you leave early, you will keep access to the Program through the end of your current six-month term, and if you are on the Monthly Payment Plan, you remain responsible for all remaining payments for that term. In the event of termination, or once your Program ends you are no longer authorized to access the Program or its content. The restrictions imposed on you in this Agreement with respect to the Program and its content will still apply now and in the future, even after termination by you or the Company.

The Company reserves the right, at its own cost, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will fully cooperate with the Company in asserting any available defenses.

The state and federal court nearest to Harris County in Texas shall have exclusive jurisdiction over any case or controversy arising from or relating to the Program or its content, including but not limited to the Company's Privacy Policy or this Agreement. By using the Program, you hereby submit to the exclusive jurisdiction and venue of these courts and consent irrevocably to personal jurisdiction in such courts and waive any defense of forum non conveniens. The prevailing party in any dispute between the parties arising out of or related to this Agreement, whether resolved by negotiation, mediation, or litigation, shall be entitled to recover its attorneys' fees and costs from the other party.
